The Alignment Formula
Terms of Service
Effective Date: October 10, 2025
These Terms of Service (“Terms”) constitute a binding legal agreement between you (“User,” “You”) and The Alignment Formula, Inc. (“Company,” “We,” “Us,” or “Our”), governing your use of the Company’s software, platform, reports, services, and related content (collectively, the “Services”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you choose to utilize The Alignment Formula, Inc. services/software application you are agreeing, with full consent, to all terms and conditions stated and related to The Alignment Formula, Inc. and the services/information that the related application provides. There are zero circumstances where the use of The Alignment Formula, Inc. application and/or data produced by the application or any related medium can be utilized in a court of law or a defamatory manner against The Alignment Formula, Inc. or any related parties. Failure to adhere to these agreed upon terms will result in immediate product, data and service usage termination and may qualify for legal action taken by The Alignment Formula, Inc. against the party and any related parties that have taken part in the failure.
1. Use of Services
• Subject to compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or internal business purposes only.
• You may not:
• Copy, resell, sublicense, distribute, or otherwise exploit the Services, outputs, or reports for commercial purposes without prior written consent;
• Modify, reverse engineer, decompile, or create derivative works from the software;
• Circumvent, disable, or interfere with security-related features of the Services;
• Use the Services for illegal, fraudulent, or unauthorized purposes.
2. Reports, Floor Plans, and Cost Estimations
• Any reports, cost estimations, or floor plans generated by the Services are provided for informational and planning purposes only.
• The Company makes no guarantee that such outputs are accurate, complete, reliable, code-compliant, or suitable for any specific construction project.
• You are solely responsible for reviewing and validating all outputs with licensed professionals (e.g., architects, engineers, contractors) before relying on them.
3. Disclaimers
• The Services and all outputs are provided on an “as-is” and “as-available” basis, without warranties of any kind, whether express or implied.
• The Company specifically disclaims any warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
• The Company does not guarantee that:
• The Services will be uninterrupted, secure, or error-free;
• Reports or floor plans generated will comply with building codes or be suitable for construction;
• Estimates produced will reflect actual market costs.
4. Limitation of Liability
• To the fullest extent permitted by law, the Company, its affiliates, officers, employees, and contractors shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from or related to:
• Use of or reliance on the Services or outputs;
• Errors, inaccuracies, or omissions in the information provided;
• Business interruption, lost profits, or data loss.
• Your sole and exclusive remedy for dissatisfaction with the Services is to discontinue use of the Services.
5. Intellectual Property Rights
• The Services, including the software, modules, templates, reports, logos, and trademarks, are the exclusive property of the Company and are protected by copyright, trademark, and other intellectual property laws.
• You acquire no ownership rights through use of the Services, and you may not remove proprietary notices or branding from any outputs.
• Unauthorized copying, distribution, resale, or commercialization of the Services or the reports they generate is strictly prohibited.
6. User Responsibilities
• You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.
• You agree not to use the Services in a manner that harms, infringes, or attempts to misuse the Company’s intellectual property or the rights of others.
• You acknowledge that the Company may suspend or terminate access to the Services if you breach these Terms.
7. Termination
• The Company may suspend or terminate your access to the Services at any time, with or without cause, notice, or liability.
• Upon termination, all licenses granted to you under these Terms will immediately cease, and you must stop using the Services and delete all copies of any reports or outputs, except as required by law.
8. Governing Law and Dispute Resolution
• These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to conflict of law principles.
• Any disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Columbus, Ohio, and you consent to the jurisdiction of such courts. Alternatively, the Company may require disputes to be resolved through binding arbitration.
9. Changes to Terms
• The Company reserves the right to update or modify these Terms at any time, in its sole discretion, and without the need to acquire an updated terms acceptance statement from any currently or previously consumer of anything related to The Alignment Formula, Inc. as long as the newly updated terms are created as a means to lawfully protect the rights and intellectual property of The Alignment Formula, Inc. and all its related data, products and parties.
• Continued use of the Services following changes indicate your acceptance of the new Terms.
